Veqlio Terms of Service

These Terms govern use of Veqlio, a product of Thriveark Inc. (“we”, “us”). By creating an account or using Veqlio you agree to them.
1. The service
Veqlio provides Instagram comment and direct-message automation, a team inbox, and CRM features for businesses, built on Meta’s official Instagram API. Features may evolve; during early access, features may change or be discontinued with notice.
2. Accounts and eligibility
You must be at least 18, able to enter contracts, and using Veqlio for business purposes. You are responsible for your account credentials and for your team members’ use. You must own or have authority over the Instagram professional account you connect.
3. Your obligations — platform compliance
You agree to:
- Comply with Meta’s Platform Terms, Instagram’s Terms of Use, and Community Guidelines at all times.
- Only message people who have initiated contact with your account (Instagram permits replies within its messaging window; Veqlio enforces these windows and you agree not to attempt to circumvent them).
- Not use Veqlio for spam, harassment, deceptive practices, or unsolicited bulk messaging.
- Honor End Users’ opt-outs: when a person asks to stop receiving automated messages, automation for that person stops.
- Provide legally required notices to your own customers, including your own privacy policy where applicable. As between you and Veqlio, you are the controller of your End Users’ data; we process it to provide the service.
We may suspend or terminate accounts that put our Meta platform access, other customers, or End Users at risk.
4. Bring-your-own AI keys
If you connect an OpenAI or Anthropic API key, that relationship (including costs and their terms) is between you and the provider. We store your key encrypted, use it only for your account’s features, and never for anything else. You are responsible for the content of AI-generated replies sent from your account; Veqlio provides controls (caps, review, handoff) and you choose how to use them.
5. Fees
Early access terms, including any fees or paid onboarding, are agreed individually in writing. If self-serve subscriptions launch, pricing and billing terms will be presented at purchase. Taxes are your responsibility where applicable.
6. Intellectual property
We own Veqlio and its software. You own your data (your contacts, conversations, configurations) and grant us the limited rights needed to operate the service for you. Feedback may be used to improve the product.
7. Availability and support
We aim for high availability but do not guarantee uninterrupted service; Instagram’s API availability is outside our control. Support is provided directly by our team (that’s the point).
8. Disclaimers and liability
The service is provided “as is”. We are not responsible for actions taken by Meta against your Instagram account, for the accuracy of AI-generated content, or for indirect or consequential damages. Our total liability is limited to the amounts you paid us in the 12 months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law.
9. Termination
You can stop using Veqlio and disconnect your Instagram account at any time; on account closure your data is deleted per our Privacy Policy. We may terminate for material breach with notice.
10. General
These Terms are governed by the laws of Quebec, Canada. Disputes go to the courts of Montreal, Quebec unless mandatory law says otherwise. If any clause is unenforceable, the rest stands. These Terms plus any early-access agreement are the entire agreement.
